MarsBase

// web3 secondaries · since 2021

Sell or buy SAFTs, SAFEs and locked tokens before TGE

MarsBase connects early investors, founders, VCs and syndicates who need to exit or enter locked positions in Tier 1–3 web3 projects. Every deal is structured and settled on the Asset Haus platform: eligible counterparties only, issuer consent enforced, delivery-versus-payment, position on a registry of record.

// what marsbase does

A deal network for illiquid web3 positions

MarsBase does not hold client assets, run an exchange or give investment advice. It finds the other side of the deal and prices it.

Origination

Buy and sell interest in SAFTs, SAFEs, token warrants, equity with token rights, vesting and pre-mainnet allocations.

Counterparties

VC funds, syndicates, family offices and OTC brokers who have transacted with MarsBase since 2021.

Pricing

Indicative pricing for illiquid instruments from a live view of secondary demand.

Community

Quarterly market recaps, live OTC events in Dubai, education on web3 secondaries.

// structuring and platform partner

MarsBase originates. Asset Haus structures and settles.

Asset Haus is the structuring and platform partner behind MarsBase deals. It built the MarsBase SAFT platform and the three pre-TGE markets below. Asset Haus is a technology and infrastructure provider: not an issuer, broker-dealer, exchange or custodian.

  1. 01

    Structuring

    BVI or Cayman SPV wrapper, instrument review, issuer-consent mapping, coordination with licensed counsel.

  2. 02

    Onboarding

    KYC/KYB, accredited or professional status evidence, e-signature.

  3. 03

    Marketplace

    Closed peer-to-peer venue with segregated flows per instrument and transfer controls: whitelists, lock-ups, consent, geo-blocks.

  4. 04

    Registry and settlement

    Conditional delivery-versus-payment, cap table updated on transfer, documents attached to each position, audit exports.

  5. 05

    Delivery

    Conversion of wrapped rights into delivered tokens at TGE or mainnet under the original terms.

  1. 01

    Submit

    Instrument, project, size, price expectation, jurisdiction. MarsBase checks the market side; Asset Haus checks the documents.

  2. 02

    Consent

    Nearly every SAFT, warrant and side letter conditions transfer on issuer consent. We map the restrictions and obtain consent. No consent, no deal.

  3. 03

    Wrap

    Rights are held through an SPV and represented on the registry with the transfer rules from the consent step.

  4. 04

    Qualify

    Both sides pass KYC/KYB and evidence accredited or professional status.

  5. 05

    Match and settle

    Closed peer-to-peer venue, delivery-versus-payment, registry updated on transfer.

  6. 06

    Deliver

    At TGE or mainnet the wrapper converts to tokens under the original instrument.

What we do not do

MarsBase launched in 2022 as a wallet-only OTC desk. Since 2024 every deal is KYC-gated and consent-enforcing. We do not run a public exchange, serve retail investors, transfer instruments without required consent, or provide legal, tax, custody, broker-dealer or investment advice.

Questions

Anything else: deals@marsbase.xyz

Can I sell my SAFT before TGE?

Often yes, if the issuer consents and the buyer is eligible. Submit the instrument and you will hear within days whether a consented, compliant transfer is possible and at what indicative price.
